Is it a metallic rattle, or a proper ticking sound?
A rattle could mean your flexpipe is failing, or one of the catalytic converter heat shields has broken loose.
A ticking sound may not be the exhaust at all, it could be valvetrain noise or another engine related sound.
Does the sound vary in intensity with the engine RPM?

You might try getting under the car, and bang on the converter and the muffler. It might help localize the problem. If its disassembling internally, banging on it should yield some rattling noise. Sleeper has a point, you may just be hearing the metal in the exhaust system heating and cooling. Do you hear it inside the car, or just outside? If only outside, I don't think I would worry much about it at this point.
